Dabur Pharma Ltd has informed that the Board of Directors of the Company at its meeting held on January 31, 2007 has decided to sell / dispose off / transfer the Non Oncology Formulations Division to Alembic Ltd for a consideration of Rs 1,59,00,00,000/-plus Net Working Capital as of April 01, 2007 and other terms and conditions as per the agreement between the parties.This deal is subject to shareholders and other regulatory / statutory approvals as may be required. Pursuant to Section 192A of the Companies Act, 1956 read with Companies (Passing of Resolution by Postal Ballot) Rules, 2001 (including any statutory modification of re-enactment thereof for the time being in force), the following resolution is to be passed by the Members of the Company through Postal Ballot.1. Ordinary resolution under section 293 (1) (a) of the Companies Act, 1956, for sale, transfer, assign or otherwise dispose off the business relating to the Non Oncology Formulations Division of the Company.The Board of Directors has further appointed Mr. T R Ramamurthy, Practicing Company Secretary, as the Scrutinizer to receive and scrutinize the completed BallotPapers from the Members. The duly completed postal ballot form should reach theScrutinizer on or before March 21, 2007. The results of postal ballot will be announcedon March 23, 2007.
