Indiabulls Retail Services Ltd has informed that consequent to the resignation by M/s. Haribhakti & Co., the Statutory Auditors of the Company, the Board of Directors of the Company at its meeting held on June 27, 2008 have decided to obtain the approval of the Members of the Company through Postal Ballot pursuant to Section 192A of the Companies Act, 1956 (the Act) read with the Companies (Passing of Resolution by Postal Ballot) Rules, 2001 (the Rules) for the appointment of M/s. A Sardana & Co., Chartered Accountants, as Statutory Auditors of the Company to fill the vacancy caused by the resignation of M/s. Haribhakti & Co., Chartered Accountants, and to hold office for the remaining period till the conclusion of the ensuing Annual General Meeting of the Company.
Further, the Board of Directors of the Company, have approved the draft Postal Ballot Notice covering the aforesaid matter along with the relevant explanatory statement setting out the material facts and has appointed Mr. Sanjay Doshi, Practising Company Secretary, Mumbai, as scrutinizer for conducting the postal ballot process in a fair and transparent manner.
The duly completed Postal Ballot Form should reach the Scrutinizer on July 28, 2008. The results of the Postal 8allot will be declared any on Tuesday, the July 29, 2008.
