Steel Exchange - Outcome Of Board Meeting

Steel Exchange India Ltd has informed that the Board of Directors of the Company at its meeting held on January 02, 2008, has decided on certain matters including the following matters:

1. Approved to increase the authorised Capital of the Company from Rs 25 Crores to Rs 50 Crores.

2. Approved to issue of securities under QIP in accordance with SEBI (DIP) Guidelines 2000 under chapter XIIIA / GDR / ADR up to Rs 200 Crores.

3. Approved to issue of 47,90,000 share warrants of Rs 10/- each at a price of Rs 126/- per share warrant (including a premium of Rs 116/- per Share warrant) to M/s. Umashiv Garments Pvt Ltd (Promoter Group) on preferential basis in accordance with the SEBI (DIP) Guidelines 2000.

4. Approved Notice to convene Extra Ordinary General Meeting of the Company to be held on January 29, 2008.

K C Bokadia Films Ltd has informed that the members at the Annual General Meeting (AGM) of the Company held on December 31, 2007, inter alia, have accorded the following:

1. Adoption of the Balance Sheet as on September 30, 2007 and the Profit & Loss Account for the year ended on that date together with the Reports of the Directors and Auditors thereon.

Apollo Hospitals - Outcome of EGM

Apollo Hospitals Enterprise Ltd has informed that the members at the Extra Ordinary General Meeting (EGM) of the Company held on December 27, 2007, inter alia, have accorded the following:

1. Deleted Article 98 (a) of the Articles of Association of the Company and the following Article inserted as 98(a):

Simbhaoli Sugars Ltd has informed that the shareholders at the Extra Ordinary General Meeting (EGM) of the Company held on December 29, 2007, inter alia, have transacted the following:

1. Accorded to the Board of Directors to create mortgage on the assets of unit Brijnathpur in favour of Government of India, Ministry of Consumer Affairs, to secure the Sugar Development Fund loan for setting up ethanol project at unit Brijnathpur of the Company.

2. Accorded to the Board of Directors for modification of the resolution passed in the extraordinary general meeting of the Company dated February 17, 2006 for remuneration to managerial personnel within the limits as prescribed under Schedule XIII.

3. Accorded to the Board of Directors to create, issue and allot the share warrants to the specified promoters. The proposed warrants may be converted into equity shares of the Company within a period of 18 months from the date of issue of warrants at the option of the holders in accordance with the provisions of the Companies Act, 1956 and SEBI guidelines.

Further the Company has informed that, since a scheme under Corporate Debt Restructuring framework of RBI has been approved on December 12, 2007, pursuant to clause 13.1.1.2 of SEBI (Disclosure and Investor Protection) Guidelines, 2000 read with explanation therein, the relevant date has been changed to December 12, 2007 from November 28, 2007 as initially proposed in the notice dated November 29, 2007 of this EGM. Accordingly, the price for conversion of warrants into equity shares of the Company has been changed to Rs 42.55 (including premium of Rs 32.55) from Rs 39.00 (including premium of Rs 29.00).

Shree Precoated Steels Ltd has informed that the members at the 20th Annual General Meeting (AGM) of the Company held on December 28, 2007, inter alia, have accorded the following:

7. Authority to the Board of Directors to borrow money upto Rs 2000 Crores.

8. Enhancements of Investment limits of FIIs / NRIs in the securities of the Company from 24% to 49% of the Equity Share Capital of the Company.

9. Authority to the Board of Directors to towards issuance of FCCBs / GDRs / ADRs upto 250 Million US Dollars and further issue of shares as and when required.

Silverline Technologies - Outcome of Board Meeting
