Indo Castle Multimedia Ltd has informed that a meeting of the Board of Directors of the Company will be held on November 14, 2008, inter alia, to allot 1,87,00,000 Equity shares of Rs 10/- each of the Company credited as fully paid up to the shareholders of Bonito Impex Pvt. Ltd subject to the approval of the Shareholders of the Company at the Extra. Ordinary General Meeting to be held on November 14, 2008 for the issue of the said shares pursuant to Section 81(1A) of the Companies Act, 1956 and the Scheme of Amalgamation of Bonito Impex Pvt. Ltd and the Company, approved by the Honble Court of Judicature at Bombay on August 22, 2008 and the effective date being October 04, 2008.
