KEC International Ltd has informed that a meeting of the Board of Directors of the Company will be held on August 06, 2007, to consider and approve the Scheme of Arrangement under sections 391 to 394 of the Companies Act, 1956 envisaging amalgamation of RPG Transmission Ltd (RPGT) and National Information Technologies Ltd (NITEL) with the Company.
RPGT is engaged in the business of EPC Contracting in transmission and rural electrification, a business similar to the business of the Company.
NITEL is engaged in the business of setting up and operating telecom infrastructure.
The scheme, if approved by the Boards of the respective Companies, would be subject to approval by the members, creditors of the respective Companies, sanction by the relevant High Court and such other approval as may be required.
