Asian Hotels - EGM On Jun 25, 2007
Asian Hotels Ltd has informed that an Extra Ordinary General Meeting (EGM) of the members of the Company will be held on June 25, 2007, inter alia, to transact the following business:1. Increasring and altering the Authorised Share Capital of the Company in the following manner:(a) By increasing the authorised share capital of the Company from Rs 50,00,00,000 to Rs 70,00,00,000.(b) By cancelling 1,00,00,000 equity shares of Rs 10 each aggregating to Rs 10,00,00,000, out of the un-issued authorised share capital of the Company.(c) By creating 3,00,00,000 preference shares of Rs 10 each aggregating to Rs 30,00,00,000, partly out of the increased authorized share capital and partly in lieu of the un-issued equity shares being cancelled here-in-above.And consequential amendments in the Clause V of the Memorandum of Association & Article 3 of the Articles of the Association of the Company.2. To offer, issue and allot upto 2,00,00,000 Non-convertible Preference Shares of Rs 10 each at a premium of Rs 80 per preference share, i.e., at an issue price of Rs 90 per preference share, aggregating to Rs 1,80,00,00,000, on such other terms and conditions and in such manner as may be deemed fit and appropriate by the Board, to the following persons (Investors) and to the extent as is detailed below, on a preferential allotment basis, to be redeemed over a period of 3 years, on such redemption premium and other terms as may be deemed fit and appropriate by the Board
