Aztecsoft Ltd has informed that the members at the 13th Annual General Meeting (AGM) of the Company held on July 29, 2008, inter alia, have accorded the following:
1. Adoption of the audited profit and loss account for the year ended March 31, 2008 and the audited balance sheet as at that date together with the reports of the Auditors and the Directors thereon.
2. Declaration of dividend at the rate of thirty paisa per equity share of Rs 3/- each and also for the payment of dividend tax, for the financial year ended March 1, 2008.
3. Re-appointment of Mr. Somshanker Das & Mr. A V Sridhar, as Directors of the Company, liable to retire by rotation.
4. Re-appointment of M/s. BSR & Associates, Chartered Accountants as the Statutory Auditors of the Company to hold office until the conclusion of the fourteenth Annual General Meeting of the Company, on remuneration, terms & conditions.
5. Re-appointment of Mr. V Chandrasekaran, as Managing Director, for a period of one year with effect from January 23, 2008, on remuneration, terms & conditions.
6. Appointment of Mr. Krishnakumar Natarajan, Mr. S R Gopalan & Mr. Satish Menon, as Directors of the Company, liable to retire by rotation.
