Schrader Duncan Ltd has informed that the members at the Annual General Meeting (AGM) of the Company held on July 25, 2008, inter alia, have accorded to the following:
1. Adoption of the Directors Report, Auditors Report and the Audited Statement of Accounts for the year ended March 31, 2008.
2. Declaration of the dividend for the year ended March 31, 2008, at the rate of 45% on the Equity Share Capital.
3. Re-appointment of Mr. J P Goenka as a Director of the Company.
4. Appointment of Messrs. Price Waterhouse & Co., Chartered Accountants, Mumbai, as auditors of the Company, to hold office from the conclusion of this meeting until the conclusion of the next Annual General Meeting of the Company on remuneration, terms & conditions.
5. Appointment of Mr. Al Stecklein & Mr. Ravi Swaminathan, as Directors of the Company, not liable to retire by rotation.
6. Appointment of Mr. Ravi Swaminathan, as the Managing Director of the Company with effect from February 01, 2008 for a period of five years, on remuneration, terms and conditions.
