Centurion Bank of Punjab - Outcome Of AGM

Centurion Bank of Punjab Ltd has informed that the shareholders at the 13th Annual General Meeting (AGM) of the Bank held on August 03, 2007, inter alia, have unanimously passed the following resolutions:

1. Adoption of the Audited Balance Sheet as at March 31, 2007 and the Profit & Loss account for the year ended on that date together with the reports of the Directors and the Auditors thereon.

2. Re-appointment of Mr. Kamlesh Vikarnsey & Mr. S K Jain, as Directors of the Bank.

3. Taking on record the retirement of Mr. S Venkiteswaran, Director on completion of the maximum tenure in terms of the Banking Regulation Act, 1949 and resolving that a Director shall not be appointed in his place at this AGM.

4. Re-appointment of M/s. BSR & Co., Chartered Accountants, as Statutory Auditors of the Bank to hold office from the conclusion of this AGM until conclusion of the next AGM.

5. Revision in the Remuneration payable to Mr. Shailendra Bhandari, Managing Director of the Bank with effect from April 01, 2007 subject to RBI approval.
