Mysore Petro - Outcome Of Board Meeting - Nov 03 2008

Mysore Petro Chemicals Ltd has informed that the Board of Directors of the Company at its meeting held on October 31, 2008, inter alia, has considered and approved the following:1. Alteration of Memorandum of Association of the Company by insertion of new Clause 52 after the existing Clause 51 for diversifying into distribution of Healthcare products u/s. 17 of the Companies Act, 1956 read with Section 149(2A) of the said Act, subject to passing of resolution by the members of the Company by Postal Ballot.2.

Appointed Mr. Hemanshu Kapadia, Practising Company Secretary as the Scrutinizer for the conduct of the Postal Ballot process in a fair and transparent manner who shall submit his report to the Company and the Chairman of the Company to declare the results on December 23, 2008.

Mysore Petro - Outcome of AGM - July 16, 2008

Mysore Petro Chemicals Ltd has informed that the shareholders at the 38th Annual General Meeting (AGM) of the Company held on July 12, 2008, inter alia, have approved the following:

1. Adoption of Audited Statement of Accounts of the Company for the year ended March 31, 2008 and the Directors Report.

2. Declaration of Dividend on equity shares @ 10%.

3. Re-appointment of Mr. Nikunj Dhanuka as the Director of the Company liable to retire by rotation.

4. Re-appointment of M/s. Hariharan & Co., Chartered Accountants, Bangalore as the Statutory Auditors of the Company from the conclusion of this meeting until the conclusion of the next Annual General Meeting of the Company at a remuneration to be fixed by the Board of Directors.

5. Appointment of Mr. Anil Kochar as the Director of the Company liable to retire by rotation.

6. Re-appointment of Mr. M M Dhanuka as the Managing Director of the Company for a further period of five (5) years w.e.f. December 01, 2008.

7. Alteration of Articles of Association U/s. 31 of the Companies Act, 1956 by insertion of Clause 5A after Clause 5 under the heading CAPITAL.
