Vintage Cards - Outcome of Board Meeting

Vintage Cards & Creations Ltd has informed that the Board of Directors of the Company at its meeting held on January 30, 2008, inter alia, has approved the following:

1. Reduction of Share Capital by nine tenth i.e. to 592941 Equity Shares of Rs 10 each fully paid amounting to Rs 5,929,410

2. Allotment of 3995666 Equity Shares of Rs 10 each to Unsecured Creditors at a premium of Rs 20 per share

3. Allotment of 2410000 Optionally Convertible Debentures of Rs 10 each;

The above are pursuant to Court Order dated October 12, 2007 approving the scheme of Arrangement between the Company, its Equity shareholders and Unsecured Creditors.

Chandni Textiles Ltd has informed that the Board of Directors of the Company at its meeting held on January 30, 2008, inter alia, has approved Notice for Postal Ballot in respect of following matters:

i. Re-classification of Capital

ii. Increase of Authorised Share Capital

iii. Amendment of Memorandum of Association by insertion of new Sub-Clause No 53 after the present sub-clause 52 of Clause III (C) of Memorandum of Association

Infomedia India Ltd has informed that the members at the Extra Ordinary General Meeting (EGM) of the Company held on January 10, 2008, inter alia, have accorded the following:

1. For offering, issuing and allotting on preferential basis, to such entities or person as may be decided by the Board of Directors of the Company (the Allottees) up to 60,00,000 (Sixty Lacs only) Equity Warrants (Equity Warrants), and for the allotment of Equity Shares on exercise of such Equity Warrants, where each such Equity Warrant being exercisable, at the option of the holder and pursuant thereto, would entitle the holder thereof for allotment of one fully paid up Equity Share of Rs 10/- (Rupees Ten Only) each, at an exercise price of Rs 237/- (Rupees two hundred and thirty seven only) per Equity Share (the Exercise Price including premium), such price being in compliance with the SEBI Guidelines for Preferential Issue (Chapter XIII of the SEBI (DIP) Guidelines 2000), (as on December 11, 2007 the Relevant Date for this purpose), on such further terms and conditions, as may be finalised by the Board of Directors, in accordance with guidelines / rules applicable to preferential allotment of the Equity Warrants / Equity Shares, by Government of India, Securities & Exchange Board of India (SEBI), or any other authorities, as the case may be, and / or any modification thereof and subject to necessary provisions & approvals.

Jayant Agro - Outcome Of Board Meeting

Jayant Agro Organics Ltd has informed that the Board of Directors of the Company at its meeting held on January 30, 2008, have decided to redeem 60,00,000 7% Redeemable Cumulative Preference Shares of Rs 5/- each, at par, on April 08, 2008, which were allotted on April 09, 2003 to be redeemed within 5 years from the date of allotment, without surrendering the Share Certificates from the Preference Shareholders, at the discretion of the Board of Directors of the Company.

d. To Mrs. Poonam Sharma:

Upto 1,00,000 equity shares of the Company, at a price of Rs 160/- per equity share (including a premium of Rs 150/- per equity share) aggregating to Rs 1,60,00,000/- (Rupees One Crore Sixty Lacs only);

Srinivasa Shipping - Outcome Of Board Meeting

Srinivasa Shipping & Property Development Ltd has informed that the Board of Directors of the Company at its meeting held on January 31, 2008, inter alia, has considered the following:

1. The Company has entered into a Joint Development Agreement for developing Premium Apartments on a 1.12 Acres plot of land at Padur Village on the Keelambakkam - Vandalur Road, off the IT Expressway, Chennai. The constructed area to be shared will be in the ratio of 62:35. The estimated cost of project is Rs 10.10 Crores against estimated revenue of Rs 13.50 Crores. The project will be implemented between March 2008 and June 2009. The expected profit would be Rs 3.40 Crores.

2. The Company has entered into a Joint Development Agreement for developing residential villas / row houses project on a 3.89 acres plot of land at Thalambur village, off Old Mahabalipuram, IT expressway, Chennai. The constructed area to be shared will be in the ratio of 56:44. The estimated cost of project is Rs 21.70 crores against estimated revenue of Rs 29.90 crores. The project will be implemented between April 2008 and March 2010. The expected profit will be Rs 8.20 crores.

3. The Company has entered into a Joint Development Agreement for developing Residential Apartments on a 3.05 Acres plot of land at Padur Village off old Mahabalipuram IT Expressway, Chennai. The constructed area to be shared will be in the ratio of 50:50. The estimated cost of project is Rs 46.50 Crores against estimated revenue of Rs 58.13 Crores. The project will be implemented between April 2008 and June 2010. The expected profit will be Rs 11.63 crores.

4. The Board has deferred the proposal of issue of convertible warrants on preferential basis for the time being.

PEARL Polymers - Outcome Of Board Meeting

PEARL Polymers Ltd has informed that the Board of Directors of the Company at its meeting held on January 31, 2008, has approved the proposal for issuance of Equity Shares on Preferential Basis to Industrial Development Bank of India (IDBI), subject to necessary approval of shareholders by way of Postal Ballot, Stock Exchanges and Compliance of other relevant rules, regulations and guidelines to the extent applicable.

Mindteck India - Outcome Of Board Meeting

Mindteck India Ltd has informed that the sad demise of its Chairman Mr. M G Ved on January 30, 2008. The Companys Board has appointed Mr. Satish Menon as its Chairman until the conclusion of the current financial year.

Further the Company has informed, the Board of Directors of the Company at its meeting held on January 31, 2008 has approved the simultaneous issue and allotment on preferential basis of:

i. 1,926,291 equity shares, 8,02,000 equity shares and 320,149 equity shares in the Company having a face value of Rs 10/- at a premium of Rs 63.54 per equity share as fully paid-up to Banco Efisa S.A,, Tadhamon I.I, Bank and Mr. Mahesh Tharani respectively (constituting 9.01%, 3.75% and 1.50% respectively of the total post issue paid up equity share capital of the Company) against issue proceeds of Rs 22.41 crores; and

ii. 6,600,000 equity shares and 1,200,000 equity shares in the Company having a face value of Rs 10/- at a premium of Rs 88.50 per equity share as fully paid up to Embtech Holdings Ltd and Mr. Pankaj Agarwal, shareholders of ICI Tech Holdings Inc., on a share swap basis, as consideration for the acquisition of 100% of the equity capital of ICI Tech Holdings Inc.

Banco Efisas holding in the Company post this preferential allotment stands at 12.75% and the holding of Embtech Holdings Ltd (promoter Company) stands reduced from 69.98 to 65.34% of the total paid up equity capital of the Company.

Effective February 01, 2008, ICI Tech Holdings Inc and its operating subsidiary Infotech Consulting Inc will become the wholly owned subsidiaries of the Company.

PBA Infrastructure - Outcome Of Board Meeting

PBA Infrastructure Ltd has informed that the Board of Directors of the Company at its meeting held on January 31, 2008, has transacted the following business:

1. 30,00,000 Share Warrants @ Rs 10.00 each on a premium as determined / fixed by the Statutory Authority on the basis of SEBI (DIP) Guidelines 2000, was adopted by the Board.

2. The Memorandum and Articles of Association will be amended accordingly.

1. Appointment of Mr. Paresh M Kariya and Mr. Arvind M Kariya, as representative of the Acquirers, on the Board of directors of the company.

2. Shifting of the registered office of the Company from 1A, Hill view Apartment, J P Road, Audheri (W) Mumbai-400058 to 1st Floor, Nisarg Apartment, Besant Road, Vile Parle (W), Mumbai-400058 w.e.f. January 31, 2008.

3. Transfer of 9,06,000 shares in physical form / demat form to the Acquirer group in the proportion as mentioned below:

b. Mr. Paresh M Kariya: 3.31%

c. Mrs. Sadhna P Kariya: 46.91%

d. Mrs. Jigna A Kariya: 5.08%

4. Taken on record Mr. Paresh M Kariya, Mr. Arvind M Kariya, Mrs. Sadhna P Kariya and Mrs. Jigna A Kariya as new promoter of the company and removal of the name existing promoters from the category of promoter Shareholder.

5. Acceptance of Resignation of Mr. Shri K Balasubramanian, Mr. Amit Kumar Verma and Mr. Hiralal Jain from the Board of Directorship of the Company with effect from January 31, 2008.

6. Authorisation to Mr. Arvind M Kariya and / or Mr. Paresh M Kariya to carry out all the related formalities in this regard.
